A private company in Malta must have at least one director, who is responsible for managing all company activities, excluding those falling under the purview of general meetings. It is not mandatory for the director of a Maltese company to be a resident of Malta.

The Memorandum of Association specifies the number of directors and identifies the initial directors. Subsequent directors are appointed through ordinary resolutions at general meetings by the shareholders. A director’s term may end through resignation, removal, disqualification, or the expiration of office, with removal occurring through an ordinary resolution at a general meeting.
